Acceptance of these terms

These Terms of Use form a binding agreement between you and SENTIAT Corp governing your access to and use of this website, including any restricted Technology and Programs material made available to you through an access credential.

By accessing the site, entering an access code, submitting an inquiry, or otherwise using any part of this site, you confirm that you have read these terms, that you accept them, and that you have the authority to accept them on behalf of the organization, command, agency or institution you represent.

If you do not accept these terms, do not use the site. If you are prohibited by your own agency policy, contracting rules, security posture or applicable law from accepting terms of this kind, discontinue use and contact us so we can arrange an alternative briefing channel.

We may revise these terms at any time. Revisions take effect when posted. Where a change is material, we will make reasonable efforts to indicate the revision on this page. Your continued use after posting constitutes acceptance of the revised terms.

Who this site is intended for

This site is directed to defense commands, government and security agencies, allied and coalition partners, critical-infrastructure operators, prime contractors, research institutions and qualified investors. It is not directed to consumers, to the general public as a purchasing audience, or to children.

Nothing on this site should be read as an invitation for you to disclose classified, controlled, program-sensitive or operationally sensitive information to us through a public channel.

If you are accessing this site from outside the United States, you do so on your own initiative and are responsible for compliance with the laws applicable to you, including any local restrictions on receiving defense-related information.

Informational purpose and no reliance

The content on this site describes our concepts, architecture, research direction and program intent. It is provided for general informational purposes only. It is not an offer, a solicitation, a quotation, a bid, a proposal, a contract, a specification, a statement of work, or a warranty of performance for any product, capability or system.

Nothing on this site creates a teaming agreement, a subcontract relationship, a distributor or reseller relationship, an exclusivity arrangement, or any procurement obligation on the part of SENTIAT Corp or on the part of your organization.

Statements about future capabilities, milestones, fielding timelines, integrations, certifications, partnerships or performance are forward-looking. They reflect current intent at the time of writing and are subject to change without notice as research, funding, testing, regulatory review and partner arrangements evolve.

Any performance figures, ranges, response times, accuracy characteristics, cost estimates or throughput values that appear on this site are illustrative and derived from modeling or concept analysis. They are not verified test results and must not be used for planning, requirements development, acquisition analysis, budgeting or operational decisions. Verified data is exchanged only under a written agreement appropriate to the information involved.

Do not rely on this site as your sole basis for any acquisition, investment, engineering, safety or operational decision. Ask us for the controlled documentation instead.

Restricted and authorized-access areas

Portions of this site, including detailed Technology and Programs material, are restricted. Access requires a credential issued directly by our Chief Executive Officer or Chief Operating Officer to you or to your program office.

An access credential is personal to the recipient and is issued for a specific evaluation purpose. You may not share, publish, resell, transfer, embed, cache in a shared system, or otherwise disclose a credential or the material it unlocks to any person who has not been separately authorized by us in writing.

You agree to notify us promptly if you believe a credential has been lost, compromised, shared, or retained by a person who has left your program or organization. We may suspend, rotate or revoke any credential at any time, with or without notice, and access may end when your evaluation purpose concludes.

The following are prohibited: attempting to bypass, brute-force, guess, decompile or otherwise defeat the access control; scraping, crawling, bulk downloading, mirroring or automated harvesting of any part of this site; security testing, vulnerability scanning or penetration testing without our prior written authorization; introducing malicious code; interfering with site availability or with other users; and misrepresenting your identity, affiliation, authority or clearance in order to obtain access.

We may log access attempts, credential use and associated technical request data for security monitoring, abuse prevention and legal compliance, as described in our Privacy Policy.

Acceptable use

Use this site only for lawful purposes connected with evaluating, discussing or partnering on our capabilities. You may view, print and internally circulate public pages within your organization for that evaluation purpose, provided all notices remain intact.

You may not use this site or its content to develop a competing product; to train, fine-tune, evaluate or ground any machine learning model or generative system; to build a dataset, index or derivative corpus; or to provide services to a third party, in each case without our prior written consent.

You may not remove, obscure or alter any copyright, trademark, confidentiality, distribution, export-control or attribution notice appearing on any page, diagram or document.

Intellectual property

The SENTIAT name, the SENTIAT eagle mark, SENTIAT division names, our taglines including Intelligence for a Safer World, Intelligent Protection Infrastructure, Human-in-Command and Responsible Defense Principles, together with all diagrams, figures, architecture descriptions, documentation, page copy, imagery, layout and site design, are owned by SENTIAT Corp or used with permission, and are protected by United States and international copyright, trademark, trade secret and patent law.

Certain subject matter described on this site is the subject of pending patent applications. Public description here does not dedicate any invention to the public and does not waive any priority, claim scope or enforcement right.

No license, whether express, implied, by estoppel or otherwise, to any patent, patent application, trademark, copyright, trade secret or other right is granted by your access to this site or by any information you obtain from it. All rights not expressly granted are reserved.

You may not reproduce, republish, distribute, publicly display, modify, translate, reverse engineer or create derivative works from site content without our prior written permission, except for the limited internal evaluation use described above.

Export control and controlled technical data

Our work relates to fields that may be subject to United States export control laws and regulations, including the International Traffic in Arms Regulations, the Export Administration Regulations, and sanctions programs administered by the Office of Foreign Assets Control.

The public pages of this site are intended to contain only information that is publicly releasable and not controlled technical data. We do not intend, by publishing this site, to make any export, reexport, deemed export or transfer of controlled technical data to any person.

If you believe any material on this site is controlled, or has been published in error, notify us immediately through the contact page and do not further distribute it.

You are responsible for compliance with all export, reexport, sanctions, embargo, foreign national access and import laws applicable to you in connection with any information you receive from us, including any restrictions on onward transfer to foreign nationals, foreign persons within your own organization, or affiliates in other jurisdictions.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive United States sanctions, and that you are not a person on any restricted party, denied person, entity, debarred or specially designated national list.

Submissions, inquiries and feedback

Do not submit classified, controlled unclassified information, export-controlled technical data, personally sensitive information, operational details, third-party proprietary information, or anything covered by an existing non-disclosure obligation through the contact form, this site, or unencrypted email. Use the channel we designate for that category of information instead.

Unless a separate written agreement executed by an authorized officer of SENTIAT Corp provides otherwise, information you submit through this site is treated as non-confidential and non-proprietary, and no confidential relationship is created by your submission.

If you send us feedback, suggestions, requirements input or concept ideas, you grant SENTIAT Corp a perpetual, worldwide, irrevocable, royalty-free license to use and incorporate that feedback without restriction, attribution or compensation. This does not affect any rights you hold in your own underlying technology or program information.

You are responsible for the accuracy and lawfulness of anything you transmit to us, and for having the authority to transmit it.

Government users and procurement

If you are a United States Government employee, service member or contractor acting within the scope of your duties, your use of this site is subject to the ethics, procurement integrity, information assurance and records rules that apply to you. Nothing here is intended to induce any act inconsistent with those obligations.

Any software or technical data eventually delivered to the Government under a resulting agreement would be commercial in nature and provided with restricted or limited rights as negotiated in that agreement. Rights in technical data and software are established by the applicable contract, not by this site.

Discussion on or through this site does not constitute a response to a solicitation, an unsolicited proposal within the meaning of applicable procurement regulation, or a commitment by either party to enter into any contract.

Third-party links, partners and content

This site may reference or link to third-party resources, partner organizations, standards bodies, research institutions or media coverage. We do not control those resources and are not responsible for their content, accuracy, availability, security, or privacy practices.

Reference to any third party, product, service, standard or organization does not constitute or imply endorsement, sponsorship, affiliation or recommendation, in either direction, unless expressly stated.

Availability, changes and suspension

We may modify, suspend, relocate or discontinue any portion of this site, including restricted areas and previously published material, at any time and without notice or liability.

We do not warrant that the site will be uninterrupted, timely, error-free, free of harmful components, or continuously available in any particular jurisdiction.

We may restrict or terminate your access at our discretion, including where we reasonably believe these terms have been violated or where continued access presents a security, legal or export-control concern.

Disclaimer of warranties

The site and all content are provided on an as-is and as-available basis. To the fullest extent permitted by law, SENTIAT Corp disclaims all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment and non-infringement.

We make no warranty that any concept, architecture, capability or program described here will be developed, funded, certified, fielded, exportable, procurable, or suitable for your mission, environment or threat set.

Nothing on this site is safety-critical guidance. Do not use it to design, operate, configure or evaluate any protective, defensive, life-safety or security system in the field.

Limitation of liability

To the fullest extent permitted by law, SENTIAT Corp and its officers, directors, employees, advisors, contractors and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, business interruption, procurement of substitute services, or reputational harm, arising out of or related to your use of this site, whether based in contract, tort, strict liability, statute or otherwise, and even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or related to this site will not exceed one hundred United States dollars.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you. Nothing in these terms limits liability that cannot lawfully be limited, and nothing here limits or waives any right or remedy of the United States Government where such a waiver would be unenforceable.

Indemnification

To the extent permitted by the law applicable to you, and excluding United States Government users where such an undertaking is not authorized, you agree to indemnify and hold harmless SENTIAT Corp and its personnel from any claim, loss, liability, penalty or expense, including reasonable attorney fees, arising from your misuse of the site, your breach of these terms, your unauthorized disclosure of restricted material, or your violation of applicable law including export control law.

Governing law and disputes

These terms are governed by the laws of the United States and of the state in which SENTIAT Corp maintains its principal place of business, without regard to conflict of law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Except where you are a United States Government entity, in which case federal law and the Contract Disputes Act framework govern as applicable, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state.

Before initiating any dispute, the parties will attempt in good faith to resolve the matter through direct discussion between authorized representatives for at least thirty days after written notice.

You agree to bring any claim on an individual basis. Class, collective and representative actions are waived to the extent permitted by law.

General provisions

If any provision of these terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force.

Our failure to enforce any provision is not a waiver of that provision or of any other right.

You may not assign or transfer these terms or any rights under them without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.

Sections concerning intellectual property, export control, submissions, disclaimers, limitation of liability, indemnification and governing law survive any termination of your access.

These terms, together with our Privacy Policy and any written agreement executed between us, constitute the entire understanding regarding your use of this site and supersede prior communications on that subject. Where a signed agreement between us conflicts with these terms, the signed agreement controls.

Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of government, conflict, natural events, network or infrastructure outages and cyber incidents.
